1. Introduction and Acceptance of Terms

New York Lyceum, LLC (the "Club") is a private social club that offers events, parties, speaker series, and an online community to its members. These Membership Terms and Conditions (the "Terms") govern your membership in the Club and your participation in all Club-sponsored activities, whether in-person or online. By applying for membership, paying any membership fees, attending Club events, using the Club's website or online forum, or otherwise engaging with the Club, you ("Member" or "you") acknowledge that you have read, understood, and agreed to be bound by these Terms and any policies or codes of conduct referenced herein. If you do not agree with these Terms, you should not join as a Member or participate in Club activities.

These Terms constitute a legally binding agreement between you and New York Lyceum, LLC. By accepting membership, you represent that you have the capacity to enter into this agreement. The Club reserves the right to require you to affirm your acceptance as a condition of membership or continued participation.

2. Eligibility for Membership

Age Requirement: Membership in the Club is intended for adults. You must be at least 18 years of age to become a Member. Only individuals 21 or older may consume alcoholic beverages at Club events. If you are under 21, you agree not to consume alcohol at any Club event. Violation of this rule can result in immediate ejection and membership termination. By joining, you represent that you meet the applicable age requirements, and you agree to provide valid government-issued identification as proof of age upon request.

Member Responsibility: The Club does not assume any responsibility or liability for underage individuals who obtain or consume alcohol at events. All members and guests are individually responsible for complying with applicable laws concerning alcohol consumption. Any underage person who consumes alcohol at a Club event does so at their own risk and assumes all legal consequences of their actions. Members who provide alcohol to an underage person will be held solely liable. Members are expected to take reasonable precautions to ensure that guests and fellow attendees comply with these laws. The Club may remove any attendee suspected of violating alcohol-related laws or posing a risk to others.

Membership Approval: Membership is subject to approval by the Club. The Club may accept or reject any membership application at its sole discretion. The Club may also limit the number of members or impose additional eligibility criteria.

Personal Use Only: Membership is personal to you and non-transferable. You may not share, sell, or gift your membership or membership benefits to anyone else. Any attempt to transfer or allow another person to use your membership benefits is a violation of these Terms and may result in suspension or revocation of membership without refund.

3. Membership Types, Fees, and Renewal

The Club offers multiple membership tiers:

  • Monthly Membership: Recurs monthly until canceled. Billed each month.

  • Annual Membership: One year term. Renews annually unless canceled in advance.

  • Lifetime Membership: One-time fee for lifetime access.

Payment of Fees: You agree to pay all applicable fees. You authorize the Club to charge your payment method according to your selected plan. It is your responsibility to keep payment information current.

Changes to Fees: The Club may adjust pricing with advance notice. Continued use of the membership after notice constitutes acceptance of the new pricing.

Taxes: Fees are exclusive of taxes, which will be applied as required.

4. Membership Privileges and Limitations

Membership grants access to:

  • Club-hosted events, subject to RSVP and capacity.

  • The Club's online member forum.

  • Potential discounts and merchandise offerings.

Membership does not confer ownership or equity in the Club. Membership is a revocable license, not a property right.

5. Member Code of Conduct (In-Person Events)

Members and their guests agree to:

  • Treat others respectfully and refrain from harassment or disruptive behavior.

  • Follow all laws and venue rules.

  • Consume alcohol responsibly; intoxicated behavior is grounds for removal.

  • Avoid property damage; report any incidents immediately.

  • Take responsibility for guests' conduct.

Violations may result in suspension or termination without refund.

6. Online Community Rules

Use of the online forum is subject to the following rules:

  • Be respectful; no harassment or hate speech.

  • No illegal or infringing content.

  • Do not share others' private information.

  • Do not post spam or unauthorized commercial content.

  • Follow moderator guidance and platform terms of service.

Violations may result in content removal, suspension, or termination.

7. Alcohol Policy

  • Must be 21+ to consume alcohol at events.

  • Members are individually responsible for legal compliance.

  • Do not provide alcohol to minors. If an underage individual consumes alcohol at an event, they do so entirely at their own risk and legal responsibility. The Club assumes no liability for any consequences arising from underage drinking, including but not limited to injury, illness, or legal action. All responsibility falls upon the individual and/or the person who provided the alcohol.

  • Drink responsibly and never drive impaired.

  • The Club and venues may refuse service to anyone.

All alcohol-related risks are assumed by the Member. The Club is not liable for consequences of your alcohol consumption.

8. Assumption of Risk and Safety Acknowledgment

Members assume all risks associated with attending events, including personal injury, illness, or property loss. The Club is not liable for injuries, losses, or damages except in cases of gross negligence or intentional misconduct.

9. Third-Party Venues and Vendors

Events may take place at venues not owned by the Club. Members must comply with all venue rules and acknowledge that the Club is not liable for acts or omissions of venue staff or third-party vendors.

10. Merchandise and Commercial Activities

The Club may sell merchandise. All sales are final unless otherwise stated. No warranties are made beyond those required by law. The Club may cancel orders if necessary.

11. Suspension or Termination of Membership by Club

The Club reserves the right to suspend or terminate membership at any time for any reason, including violations of these Terms. In cases of termination for cause, no refund will be given. In other cases, the Club may issue a pro-rated refund at its discretion.

12. Member-Initiated Cancellation and Refund Policy

  • Monthly: Cancel before next billing to avoid charge.

  • Annual: No refund for early cancellation unless required by law.

  • Lifetime: Non-refundable after initial cancellation window.

Separate event tickets and merchandise purchases are not refunded automatically upon membership cancellation.

13. Indemnification

Members agree to indemnify and hold harmless the Club and its representatives against claims or damages arising from their conduct, violations of law, or breaches of these Terms.

14. Limitation of Liability

The Club’s liability is limited to the amount paid in membership dues in the 12 months preceding the claim. The Club is not liable for indirect or consequential damages. These limitations apply to all legal theories unless prohibited by law.

15. Disclaimers

The Club does not guarantee event availability or outcomes. Information shared by members or speakers is not professional advice. The Club is not responsible for third-party content or services.

16. Intellectual Property and Media Consent

All Club branding and content are protected. Members may not use logos or materials without permission. By attending events, you consent to being photographed or recorded for Club use. Member-generated content may be used by the Club for promotional purposes.

17. Privacy and Data Protection

Member data is collected and used in accordance with the Club’s Privacy Policy. Members consent to receive communications and acknowledge the risks inherent in sharing personal information.

18. Changes to Terms and Club Policies

The Club may update these Terms with notice. Continued use of membership after changes take effect constitutes acceptance. Members should review Terms periodically.

19. Governing Law and Dispute Resolution

These Terms are governed by New York law. Disputes will be resolved in New York County courts. Members waive class action rights. Legal claims must be brought within one year.

20. Miscellaneous Provisions

These Terms constitute the entire agreement between the Member and the Club. If any provision is found unenforceable, the remainder shall remain in effect. The Club’s failure to enforce a provision does not waive its rights. Membership may not be transferred. Force majeure events excuse Club performance.
